Job Purpose
 
Serves as, and is responsible for undertaking the role of, Senior Specialist Lawyer of Paragon Banking Group PLC (“Paragon”, the “Company”) and to provide legal support to (i) the Asset Finance and Treasury businesses and (ii) the Group General Counsel and Company Secretary (deputising where appropriate) to enable the GC to provide legal guidance to the Board and Executive Committees, including on strategic initiatives.  To assist with providing direction of the firm’s legal activities and co-ordination of work conducted by external legal counsel.  To act as an ambassador of the Company’s values and to demonstrate the associated behaviours at all times. The job holder is expected to provide an excellent service to all “stakeholders”.
 
Key Duties
  • Supporting the Asset Finance business
  • Supporting the Treasury business
  • Supporting the General Counsel (and deputising where appropriate) in the day-to-day management accountability for the legal and secretariat functions, the development, establishment and approval of long-term vision and strategy, and the achievement of financial KPIs
  • To be an alternative first point of contact (after the GC) to the various heads of the business teams (and also the audit, finance, HR and risk functions) for legal advice and ensuring that appropriate levels of legal service and legal risk management are maintained
  • Providing “hands on” advice and day-to-day assistance on major transactions such as acquisitions and securitisations (noting the Company’s track record of being a repeat issuer)
  • Selection, management and ongoing evaluation of (and establishment of key relationships with) external counsel
  • Review of existing procedures and policies for the internal provision of legal services and to ensure that legal matters are brought to the attention of management in an appropriate and timely manner
  • Legal advice on a wide range of corporate and commercial issues including material agreements, marketing agreements, HR and litigation
  • Advising on new products and business structures
  • Working with Risk function to manage the Company’s overall legal risk position by ensuring that contracts reflect best practice
  • Legal advice and assistance on specific legal issues arising with regulatory authorities (without responsibility for regulatory or conduct advice), such as privilege and legislative interpretation
  • Provide oversight to the secretariat function to ensure an efficient service is provided in supporting the Board, high standards of corporate governance are maintained and that other statutory obligations are adhered to
 
Key Skills
 
  • In House legal experience with a broad understanding of corporate culture
  • Extensive post qualification legal experience
  • Trained and gained post qualification experience at a leading City, national or international firm
  • High-calibre, confident, commercially minded with proven ability to manage complicated projects, excellent drafting skills, high levels of autonomy and a proactive approach
  • Ability to prioritise and to keep deadlines within a challenging environment
  • Ability to rapidly develop confidence and trust with people throughout the group
  • Financial Services Experience (in particular banking experience)
  • Excellent communication and interpersonal skills, both written and verbally
  • Strong organisational skills and ability to keep calm under pressure
 
Essential Skills
You must hold a law degrade and be a qualified solicitor with a valid practising certificate
 
Working Hours
Monday to Friday from 9.00am to 5.30pm. 37.5 hours a week.
